Consolidated Financial Statements and UAE Corporate Tax: What Group Owners Need to Know

Most UAE groups are not required to file consolidated financials for Corporate Tax — but registered Tax Groups face specific audited reporting obligations from 1 January 2025.

As founders build multi-entity structures in the UAE — holding companies paired with operating subsidiaries across free zones and mainland — questions about consolidated financial statements come up regularly. The short answer is that UAE Corporate Tax is generally assessed at the level of the individual taxable entity, based on that entity's own financial statements prepared under applicable accounting standards. Consolidation is not, by default, a Corporate Tax requirement simply because a group operates more than one company.

That said, there is an important exception. For tax periods beginning on or after 1 January 2025, registered UAE Tax Groups must prepare audited special purpose aggregated financial statements for Corporate Tax purposes. These are distinct from standard IFRS consolidated financial statements: they serve the Tax Group's reporting obligations under the Corporate Tax framework rather than satisfying a statutory consolidation requirement. The distinction matters — one does not automatically substitute for the other.

Beyond the Tax Group rule, consolidated financial statements remain relevant in several parallel contexts: IFRS reporting obligations, UAE company law requirements, lender covenants, and shareholder agreements may all independently require a group to consolidate. Where such statements exist, they can support tax compliance work — but their existence is driven by those other obligations, not by the Corporate Tax legislation itself.

The consolidation process itself follows a consistent logic regardless of why it is being prepared. Each subsidiary's financials are collected, accounting policies are aligned across entities, and intercompany transactions are eliminated — including internal sales, loans, management fees, and receivables and payables between group members. The resulting consolidated income statement, statement of financial position, and cash flow statement present the group as a single economic entity, which is what lenders and investors typically need to assess overall performance and creditworthiness.

What this means for our clients

For founders running a Dubai holding structure with multiple subsidiaries, the practical priority is clarity on two separate tracks. First, determine whether your group qualifies as or intends to register as a UAE Tax Group — if so, the audited special purpose aggregated financial statements obligation applies from the 2025 tax period onward. Second, review whether any non-tax obligation (your free zone licence conditions, a banking facility, or your shareholder agreement) independently requires consolidated IFRS reporting. Conflating these two tracks leads to either over-preparation or gaps in compliance.

  • Confirm whether your multi-entity structure is registered, or eligible to register, as a UAE Tax Group with the Federal Tax Authority.
  • If you operate a Tax Group, ensure audited special purpose aggregated financial statements are prepared for tax periods beginning on or after 1 January 2025.
  • Review lender agreements, free zone conditions, and shareholder arrangements to identify any independent consolidated reporting obligations.
  • Align accounting policies across all group entities before consolidation — inconsistent treatments create errors that are difficult to unwind at audit.
  • When consolidating, eliminate all intercompany transactions (sales, loans, management fees, internal receivables and payables) before presenting group-level figures.
  • Do not assume that statutory consolidated IFRS financials satisfy the Tax Group's audited aggregated statement requirement — confirm the distinction with your tax adviser.
